1. Accounts
You must provide accurate information when creating an account and keep your credentials secure. You are responsible for activity that occurs under your account. Access is granted to your organization ("Customer"); individual users access the Service on behalf of that Customer.
2. Acceptable use
- Don't misuse the Service or attempt to disrupt, reverse engineer, or bypass its security or verification controls.
- Don't upload content that you don't have the right to use, or that is unlawful, infringing, or harmful.
- Don't use the Service to make decisions about individuals in violation of applicable law (including employment, fair-credit, or anti-discrimination laws).
3. Customer content
You retain all rights in the materials you upload ("Customer Content"). You grant SimplifiedIQ a limited license to host, process, and display Customer Content solely to provide the Service. You are responsible for ensuring you have the necessary rights and notices to process Customer Content, including any personal information of employees or contractors.
4. Capability Records
Capability Records and certificates produced by the Service describe verified outcomes at a point in time based on the assessment items and verification controls configured by the Customer. They do not constitute a guarantee of future performance or a substitute for the Customer's own hiring, placement, or supervisory judgment.
5. Fees
Paid access is subject to the fees set out in your order. Unless otherwise agreed, fees are non-refundable and taxes are your responsibility.
6. Confidentiality
Each party will protect the other's non-public information disclosed in connection with the Service using at least the same care it uses to protect its own confidential information, and not less than a reasonable standard of care.
7. Intellectual property
The Service, including all software, models, designs, and documentation, is owned by SimplifiedIQ and its licensors. No rights are granted except as expressly set out here or in a written order.
8. Disclaimers
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, SimplifiedIQ disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenues, or data. Each party's total liability arising out of or relating to the Service is limited to the amounts paid or payable for the Service in the 12 months preceding the event giving rise to the claim.
10. Termination
Either party may terminate for material breach not cured within 30 days of written notice. Upon termination, your right to access the Service ceases and we will delete or return Customer Content in accordance with our retention practices.
11. Changes
We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use after the effective date constitutes acceptance.
